Welcome to YesCrow. These Terms of Service (the "Terms") govern your use of the YesCrow mobile application, website, and related services (collectively, the "Service") operated by Kilikia LLC ("YesCrow", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service
YesCrow is a peer-to-peer secure payments platform. Users can create binding agreements ("deals") to send, receive, split, or bet money with built-in protection — funds are held by our payment processor and released only when both parties agree the conditions are met, or when a dispute is resolved. YesCrow is not a bank, a money transmitter as principal, or an insurance provider. We are a technology layer on top of Stripe and other licensed financial institutions.
2. Eligibility & account registration
- You must be at least 18 years old to use YesCrow.
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for keeping your password and devices secure. Notify us immediately at support@yescrow.online if you suspect unauthorized access.
- You may use the Service only for lawful purposes and in compliance with these Terms, applicable laws, and Stripe's terms.
- One account per person. Business accounts are permitted with prior approval.
3. How YesCrow works
- Create — a user (the Payer) creates a deal specifying the receiver, amount, conditions, and dispute terms.
- Sign — both parties electronically sign the deal. Signatures create a binding agreement.
- Fund — the Payer authorizes the amount via Stripe. Funds are held by Stripe (not by YesCrow's general accounts) under manual-capture authorization.
- Work — the Receiver performs the agreed deliverable.
- Deliver — the Receiver marks the deal as delivered. A 7-day review window starts.
- Release — the Payer releases funds (or they release automatically after 7 days). Funds are captured by Stripe and credited to the Receiver's YesCrow wallet.
- Dispute — if there is a disagreement, either party may open a dispute. Funds are frozen pending resolution per Section 7.
4. Fees
- YesCrow Protection Fee: 0.5% of the deal amount, charged to the Payer when funds are captured.
- Arbitration Fee (only on disputes): 1% of the deal amount, charged to the party found at fault in dispute resolution.
- Stripe processing: standard Stripe rates apply (typically 2.9% + $0.30 per transaction in the US). Stripe fees are not refundable.
- Refunded transactions: the YesCrow Protection Fee is refunded along with the principal. Stripe processing fees are not refundable as per Stripe's policy.
All fees are shown to you before you confirm a deal. We may change fees with at least 30 days' notice.
5. Payments & Stripe
All card payments, ACH transfers, and payouts are processed by Stripe, Inc. By using YesCrow, you also agree to Stripe's Connected Account Agreement and Stripe Services Agreement. YesCrow has no control over Stripe's policies. We never store full card numbers or CVV codes — Stripe handles all sensitive card data.
6. Deal contracts & conditions
When you create or sign a deal on YesCrow, you enter a legally binding agreement with the other party. YesCrow provides the contract template, but the terms (amount, conditions, dispute clauses) are negotiated by you. You represent and warrant that:
- You have full legal capacity to enter the agreement.
- The deal does not involve illegal goods, services, or activities (see Section 9).
- The conditions you set are accurate, lawful, and enforceable.
- You will perform your part of the deal in good faith.
YesCrow is not a party to the deal between you and your counterparty. We provide the platform and payment facility. We do not guarantee that the other party will perform.
7. Disputes & arbitration of deals
Either party may open a dispute within 90 days of the deal's funding date. When a dispute is opened:
- Funds are frozen until resolution.
- Both parties have 5 business days to upload evidence (chat, screenshots, invoices, delivery proof).
- The YesCrow team (or a designated arbitrator) reviews the evidence and renders a binding decision within 3–5 business days.
- The decision is final and not subject to further appeal within the Service. (Either party may still pursue external legal remedies; see Section 15.)
- The arbitration fee (1% of deal amount) is deducted from the funds awarded to the party found at fault.
8. Refunds & chargebacks
- Refund — held funds may be returned to the Payer if both parties agree, or if a dispute is decided in the Payer's favor.
- Chargeback — if a Payer initiates a chargeback through their bank instead of using the YesCrow dispute process, we may suspend the account pending investigation. Abusive chargebacks may result in permanent ban.
- Holding period — released funds may be held for up to 7 days for fraud prevention before being available for withdrawal.
9. Prohibited uses & conduct
You agree not to use YesCrow for:
- Illegal goods or services (drugs, weapons, counterfeit items, stolen property, child exploitation material, etc.).
- Money laundering, terrorist financing, or sanctions evasion.
- Gambling, betting, or other regulated activities in jurisdictions where they are illegal for unlicensed operators.
- Adult content, pornography, or sexual services.
- Pyramid schemes, multi-level marketing, or Ponzi-like arrangements.
- Cryptocurrency on/off-ramping or hawala-style remittance.
- Fraud, identity theft, or any deceptive practice.
- Harassment, hate speech, threats, or doxxing of other users.
- Scraping, reverse-engineering, or unauthorized automated access to the Service.
- Creating multiple accounts to evade enforcement, ratings, or fees.
Violation may result in immediate suspension, account termination, forfeiture of held funds (returned to the affected party), and reporting to law enforcement where required.
10. Intellectual property
YesCrow, the YesCrow logo, the YesCrow Protection Contract template, and all related software, designs, and content are the exclusive property of Kilikia LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business use, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works without our prior written consent.
You retain ownership of content you submit (deal descriptions, comments, evidence files) but grant us a worldwide, royalty-free license to host, display, and process it as needed to operate the Service.
11. Suspension & termination
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or Stripe's policies. You may delete your account at any time via Settings → Delete account or by emailing support@yescrow.online.
Termination does not affect any rights or obligations that accrued before termination, including completed deals, fees due, ongoing disputes, or our right to retain records required by law.
12. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. YesCrow does not guarantee that the Service will be error-free, secure against all attacks, or available at all times.
YesCrow does not warrant the conduct, quality, or completion of any deal between users. You enter deals at your own risk and are responsible for verifying the identity and legitimacy of your counterparties.
13. Limitation of liability
To the maximum extent permitted by law, in no event shall Kilikia LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost data, business interruption, or emotional distress — arising out of or related to your use of the Service.
Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the total fees you paid us in the 12 months preceding the claim, or (b) USD $100.
14. Indemnification
You agree to indemnify and hold harmless Kilikia LLC and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party rights, (d) any dispute between you and another user.
15. Governing law, arbitration, and class-action waiver
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
Binding arbitration: any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), administered in English. Arbitration shall take place in Wilmington, Delaware, unless both parties agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver: you and YesCrow agree that any arbitration or proceeding shall be limited to the dispute between us individually. You waive any right to participate in class or representative actions.
Exceptions: notwithstanding the above, either party may bring a claim in small-claims court for disputes within the court's jurisdiction.
If any portion of this section is found unenforceable, the remainder shall continue in full force.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app and via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree, you may delete your account before the changes take effect.
